Cody Goff is Senior Counsel at Johnson Marlowe, LLP and focuses on representing business clients in complex commercial, construction, environmental, and contract matters.

Cody represents businesses in all stages of operation, from initial startup to a sale or dissolution and everything in-between. For new businesses, getting the paperwork correct on the front end and documenting how the business will be managed is critical and can prevent a lot of trouble down the road. Cody works with new businesses to help identify these potential pitfalls and prepare detailed operating agreements to address them. Cody also routinely represents clients looking to sell their existing business or to acquire a new business, including drafting and negotiating the initial purchase agreement and all other closing documents incidental to such a sale. Cody also represents commercial landlords and tenants to prepare and negotiate commercial leases.

Cody’s construction law practice focuses on representing owners, general contractors, and subcontractors with the drafting and negotiation of construction contracts and in resolving construction disputes. Cody represents clients in litigation or arbitration proceedings that relate to construction defects, payment disputes, or lien claims.

Cody is also an experienced environmental attorney and represents property owners, buyers, and sellers in transactions involving environmentally impacted property. If your business is involved in a property transaction where hazardous substances were used at that property or a Recognized Environmental Condition has been identified in a Phase I Environmental Site Assessment, Cody can advise you regarding the unique risks that creates and the legal mechanisms and strategies available to manage that risk. This includes drafting and negotiating contract documents to address property-specific environmental conditions and guiding clients through all aspects of applicable federal and state regulatory programs (such as Brownfield Programs, Underground Storage Tank Programs, and Superfund Programs).

Cody graduated cum laude from the University of Georgia School of Law and served on the Editorial Board of the Georgia Law Review. During law school, he completed internships with the Athens-Clarke County State Court and the Walton County District Attorney’s Office. Prior to law school, Cody graduated magna cum laude from the University of Georgia with a Bachelor of Business Administration in Finance.
